Terms of Service

These Terms of Service ("Terms") govern your use of VOE, the web application available at tryvoe.com (the "Service"), operated by VOE AI LLC ("VOE," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. What VOE does

VOE turns video content and related material you submit (links, uploads, transcripts, captions, and notes) into structured learning material — "Lessons" — using automated analysis, transcription, and AI-generated summaries and guidance. Accounts with enough credits may also request temporary transcripts without creating a Lesson.

2. Your account

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 13 years old (or the minimum digital-consent age in your jurisdiction) to use the Service.

3. Your content and permissions

• You keep ownership of the material you submit and the Lessons generated from it for your account.
• You may only submit content you have the right to use. Submitting a link tells VOE to fetch and process that content on your behalf, for your personal learning use — you are responsible for ensuring that use is permitted.
• You grant us the limited rights needed to operate the Service: fetching, temporarily storing, transcoding, processing, transcribing, and analyzing your submissions to produce the output you request.
• Transcript and source-processing tools do not give you ownership of third-party media. You may not use VOE to bypass digital-rights controls, platform access restrictions, paywalls, or other technical protections, and you may not copy or redistribute media unless you have the necessary rights.
• We may remove content or suspend accounts that infringe others' rights or abuse the Service. Copyright or takedown concerns can be reported to the contact address below; include the source URL and enough information for us to identify the material and evaluate the request.

4. AI-generated output

Lessons, summaries, tool recommendations, and answers are generated by AI systems and may be incomplete, out of date, or wrong. They are provided for informational purposes only and are not professional advice. Verify anything important before acting on it.

5. Plans, billing, and cancellation

• VOE uses credits for metered work. The Free plan includes 100 credits each month; unused Free credits expire when the month ends and do not roll over. Pro includes 1,000 credits per monthly billing period and Max includes 2,500. A closed Starter plan may remain available to existing subscribers with 500 credits per monthly billing period. Paid plans are billed in USD through Stripe, our payment processor; we never see or store your full card details.
• At the date above, a complete Lesson costs 10 credits, reanalysis costs 10 credits, and a transcript costs 1 credit per started minute. Metered tools are subject to rate limits. Current costs are also shown in the Service before use.
• VOE may reserve credits when a job is queued. A transcript initially reserves up to 5 credits, then settles at 1 credit per started minute. Other reserved credits are not charged twice: they become spent when metered work completes, and an unspent reservation is released if the job fails or is successfully cancelled before completion. A release becomes available only to the extent the underlying grant is still active; monthly grants can expire while work is reserved.
• Subscriptions renew automatically each month until canceled. You can manage cancellation in Settings or on the pricing page. A scheduled end-of-period cancellation keeps paid access until the date shown in your account. A refund by itself does not automatically cancel a subscription; when paid access should also end, VOE separately cancels the subscription. Account termination may end access sooner. Review the confirmation shown before completing a billing change.
• Paid-plan credits expire at the end of the applicable billing period and do not roll over. Free-plan credits likewise expire at the end of their month, as described above. Credits are limited, revocable licenses to use metered Service features; they are not money or property, have no cash value, and cannot be transferred or sold.
• We may change prices with at least 30 days' notice; changes apply from your next billing cycle.
• Refunds are handled per our Refund Policy.

6. Acceptable use

You agree not to: abuse, overload, or interfere with the Service; evade credits, reservations, account controls, or rate limits; create multiple accounts to avoid limits; attempt to access other users' data; use the Service to violate any law or third-party right; use source-processing tools for unauthorized copying or redistribution; bypass technical protections; resell or redistribute the Service; or use automated means to extract data from it at scale. We may delay, reject, or cancel jobs and temporarily or permanently restrict features when reasonably necessary to protect users, rights holders, providers, or the Service.

7. Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate accounts at our discretion, including for violations of these Terms. Sections that by their nature should survive termination (including limitations of liability, indemnification, and dispute resolution) survive.

8. Disclaimers and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, VOE AI LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

9. Indemnification

You agree to indemnify and hold VOE AI LLC harmless from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, the content you submit, or your violation of these Terms or of any third party's rights.

10. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. Any dispute that is not subject to arbitration below shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia, and you consent to their jurisdiction.

Arbitration. Except for claims that qualify for small-claims court or seek injunctive relief for misuse of the Service, any dispute arising from these Terms or the Service shall be resolved by binding individual arbitration in Fairfax County, Virginia, rather than in court.

Class action waiver. Disputes must be brought on an individual basis only. You and VOE AI LLC each waive the right to participate in any class, collective, or representative action.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email; continued use after changes take effect constitutes acceptance.
